By accessing and using this website and our services, you accept and agree to be bound by the terms and provision of this agreement. In addition, when using these particular services, you shall be subject to any posted guidelines or rules applicable to such services. NOVATICS, LLC, a Louisiana limited liability company ("NOVATICS," "we," "us," or "our"), provides a comprehensive incident and facility management platform for libraries ("Service"). You are responsible for obtaining access to the Service and that access may involve third-party fees (such as Internet service provider or airtime charges). You are responsible for those fees.
If you create an account on the Service, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security.
You represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into this agreement; (c) all information you provide during registration is accurate, current, and complete; and (d) you will maintain and promptly update your account information to keep it accurate, current, and complete.
Subscription Fees: Access to the Service requires a paid subscription. Fees are based on the plan selected at the time of purchase and are billed in advance on a monthly or annual basis, depending on your selected billing cycle.
Payment Processing: All payments are processed securely through Square, Inc., our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees to your designated payment method. You agree to provide current, complete, and accurate billing information.
Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.
Refund Policy: Due to the nature of digital services, all fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to the Service through the end of your current billing period, but no refund will be issued for the remaining term.
Price Changes: We reserve the right to modify our pricing at any time. Any price changes will be communicated to you at least thirty (30) days in advance and will take effect at the start of your next billing cycle following the notice.
Failed Payments: If payment cannot be processed, we may suspend or terminate your access to the Service. We will attempt to notify you of payment issues and provide a reasonable opportunity to update your payment information before suspension.
You agree not to use the Service to:
The Service and its original content, features, and functionality are and will remain the exclusive property of NOVATICS and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
You retain ownership of any data, content, or information you upload or input into the Service ("User Content"). By using the Service, you grant NOVATICS a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely as necessary to provide the Service to you.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.
We implement reasonable administrative, technical, and physical safeguards designed to protect your data. However, no method of transmission over the Internet or electronic storage is completely secure, and we cannot guarantee absolute security.
The Service integrates with and relies upon third-party services, including but not limited to:
Your use of these third-party services is subject to their respective terms of service and privacy policies. NOVATICS is not responsible for the practices, policies, or content of third-party services.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.
We will make reasonable efforts to provide advance notice of scheduled maintenance when possible. We shall not be liable for any interruption or cessation of the Service.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by canceling your subscription and discontinuing use of the Service.
Effect of Termination: Upon termination, we will retain your data for a period of thirty (30) days, during which you may request an export of your data. After this period, we reserve the right to delete all your data from our systems. We are not obligated to retain your data beyond this period.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
NOVATICS does not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOVATICS, NOR ITS DIRECTORS, MEMBERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless NOVATICS and its members, managers, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or property right; or (d) any claim that your User Content caused damage to a third party.
Informal Resolution: Before filing any formal proceeding, you agree to first contact us at legal@novatics.us to attempt to resolve any dispute informally. We will attempt to resolve the dispute within sixty (60) days.
Binding Arbitration: If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Baton Rouge, Louisiana, unless the parties mutually agree to another location.
Class Action Waiver: YOU AND NOVATICS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions.
For any matters not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in East Baton Rouge Parish, Louisiana.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and these Terms shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein.
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and NOVATICS concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
